Proposed Bylaw Change to Article 4, 2 e.

This vote is to approve the 2 nd reading of a proposed bylaw change to Article 4: 2 e. The first reading was at the January 21, 2020, Member-Owners Meeting.

Summary:
This change essentially allows the Board of Directors to select and approve by majority vote the Officers of the Board, rather than having people run for specific board positions.

OLD version:
Article 4: 2. e)   All Director terms are for two years.  The beginning of terms will be staggered as follows:  even years – President, and Numbers one and four Directors At Large; odd years –Vice President, Secretary, Numbers two and three Directors At Large.  There is no limit to the number of terms a Director may serve if re-elected.

NEW version:
Article 4: 2. e)   (200121 PROPOSED Revision) All Directors’ terms are for two years.  The Officers of the Board will be selected and elected from, and by a majority vote, of the seven elected Directors.  The selection and beginning terms of the Officers will be staggered, as follows: President elected in even years; positions of Vice President and Secretary both to be elected in odd years.  The remaining four Directors will be considered to be Directors-at-Large.  There is no limit to the number of terms a Director may serve if re-elected.
